Aperture Agrees to Acquisition by Emerson

Aperture, a global provider of software for managing the physical infrastructure of data centres, today announced that its board of directors has agreed in principle to Emerson’s offer to acquire 100% of Aperture’s share capital. The acquisition will become final once all Aperture shareholders have agreed to its terms. The financial terms of the agreement will not be disclosed.

Emerson is a diversified global technology company that provides a wide range of products and services for a broad variety of industries and markets. Emerson has approximately 140,000 employees and 265 manufacturing locations worldwide. Its 2007 revenue was $22.6 billion.

Aperture will become a division of Emerson Network Power, an Emerson business platform with annual revenues of approximately $5.2 billion. It is the world leader in delivering flexible, efficient and ultra-reliable solutions that support business-critical technology systems. The company’s Liebert-branded power, cooling and monitoring products and services are among the most trusted technologies for critical data center applications.

The addition of Aperture to Emerson Network Power’s portfolio will complement and enhance Emerson’s Liebert product line. As the physical infrastructure of data centers become rapidly more complex, driven by increasing demand for power and cooling coupled with technology advancements in IT hardware, the combination of the Aperture VISTA® products and the Liebert critical power, cooling and monitoring technologies supplied by Emerson, will enable data center professionals to manage that complexity more easily. By implementing tools and technologies that help them better understand the dynamics of the data center infrastructure, data center management will be better able to control these critical operations and thus increase the availability of business-critical systems.

Following the acquisition, Aperture will continue to operate as an autonomous business division of Emerson Network Power. Bill Clifford will remain as president of the Aperture division of Emerson.
